Terms and Conditions

1. 1. General
      With placing an order our following terms of delivery and payment become part of a contract and exclude purchasing terms of the buyer, if not agreed different. Illustrations, analyses, statement of measurements, weights and freights and so on are not binding.
      Each buyer subjugates the laws of HGB (German Commercial Code) for transactions between registered merchants. Deviating agreements or changes require the written form. If single clauses of our terms become invalid due to lawful regulation, the remaining terms stay untouched.
   2. Offers and Prices
      Unless otherwise agreed, offers are subject to change and not binding, and subject to prior sale. Samples and patterns are considered average loss. Packing costs shall be bourne by buyer, if not agreed differently in writing.
      Prices are net without VAT. The current pricelist is respectively valid. This is subject to change without notice.
   3. Delivery Time
      Statements of delivery time reserved to unforeseen occurrences like force majeure, official measures, breakdowns, tools and machine troubles. These extend the delivery time with the duration of incident. Therefore we cannot accept claims for compensation of any side.
   4. Delivery
      The shipment occurs at the risk of the buyer, also for carriage-paid delivery. Insurances occurs, if the suppliers do not carry out it habitual, only upon request and at expense of the buyer. In absence of forwarding instructions we choose the cheapest method of transport according to our best estimation .
   5. Complaints
      Possible damages occured during transport have to be remarked immediately at arrival in writing on the reception acknowledgement of the goods. This is also valid for company-owned transportation.
   6. Payment
      With the exceeding of the credit period, interest for late payment are charged without a need of reminder in the amount of the bank interest we have to pay, but at least 2 % above the discount rate of the German Federal Bank and all further costs for reminders. With delayed payment all outstanding, not payable demands are immediately due for payment without any deduction.
      We are not obliged to accept a bill of exchange. If they are accepted, it happens only under the usual reservations and only on account of payment. Complaints do not release from payment obligation. On due day the payment of amount which is not contentious has to be setteled.
      We reserve teh right to send our goods to well-known buyers by cash on delivery or to insist on pre-payment.
   7. Reservation of title
      After entire payment the goods become property of the buyer. Pledging and/or security transfer of delivered goods before complete payment is not allowed. For payments in bill of exchange or checks, our reservation of property expires only after complete redemption of the papers and settlement of all extra expenses.
   8. Guarantee claims
      Complaints of defects by the buyer and raised guarantee claims, are restricted to replacement delivery and/or improvement of deficient ware or repeat delivery of missing ware within an appropriate time period. Only if these measures fail there is a right to claim a reduction of the purchase price or to cancel the contract. Further claims, especially such on replacement of sequence damage and expense compensations, are explicitly excluded.
   9. Fulfilment place and jurisdiction
      Fulfilment place for all deliveries and payments is Rosenheim. Jurisdiction for merchants, if not non-registrable merchants, legal entities under public law and public law special funds, is the court responsible for the company headquarters Kittec GmbH.
